MarginLane Terms of Service

MarginLane provides e-commerce intelligence, wholesale distributor catalog matching, Amazon fee estimation, and opportunity scoring tools for Amazon Selling Partners. The Service allows users to upload supplier price sheets, match them against Amazon catalog listings via authorized APIs, model fulfillment scenarios, and evaluate product profitability.

Customer Responsibilities: You are solely responsible for: (a) verifying the accuracy, authenticity, and intellectual property rights of all supplier catalogs and wholesale price sheets uploaded to MarginLane, (b) maintaining lawful authorization to connect and access your Amazon Seller Central account, (c) complying with all applicable Amazon policies including the Amazon Services Business Solutions Agreement (BSA), and (d) making independent business, inventory, tax, and purchasing decisions.

14-Day Free Trial: New accounts may receive a 14-day complimentary trial with access to core matching and fee modeling capabilities without entering credit card details. The free trial is limited to strictly one (1) trial period per unique individual, business entity, or email address.

Anti-Abuse & Account Deletion Policy: If a user requests account deletion, all personal data, wholesale catalogs, and credentials are permanently purged in accordance with our Privacy Policy. However, to prevent fraudulent exploitation of promotional trials, MarginLane retains the user’s email address in a permanently blocked tombstone status. Previously registered or deleted email addresses may not be used to create new accounts or claim additional free trials.

Billing & Credits: Subscriptions (Starter, Pro, Team) are billed on a recurring monthly or annual basis in advance. Plans include an allocated monthly quota of analysis credits. Analysis credits decrement per matched catalog line item or fee scenario query. Monthly allowances do not roll over across billing cycles. Additional credit top-ups may be purchased as needed.

Cancellation & Voluntary Closure: You may cancel your subscription or permanently close your account at any time from your account settings. Cancellation takes effect at the end of the current paid billing cycle.

When using MarginLane, you agree that you will NOT:

• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Circumvent rate limits, access controls, or multi-tenant database boundaries.
• Share user credentials, session tokens, or API keys across unauthorized third parties or multiple individuals outside your organization.
• Create duplicate or fraudulent accounts to evade subscription fees or repeatedly cycle free trial allocations.
• Upload malicious code, corrupted files, or data containing harmful software.
• Attempt to scrape, bot, or harvest data outside authorized API interfaces.
• Resell, sublicense, or redistribute MarginLane access to third parties without prior written consent.

Your Data: You retain full ownership of all supplier catalogs, wholesale cost sheets, and proprietary pricing data you upload. We claim no intellectual property rights over your supplier files.

MarginLane IP: All software, scoring algorithms (PMS-1.0, MLS-1.0, CAP), visual designs, logos, and documentation remain the exclusive intellectual property of Invora Digital Technologies.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. MARGINLANE DOES NOT GUARANTEE THAT PRODUCT MATCHES, FEE ESTIMATES, OR ARBITRAGE SCENARIOS WILL RESULT IN PROFITABLE COMMERCIAL OUTCOMES. PURCHASING DECISIONS ARE SOLELY THE RESPONSIBILITY OF THE SELLER.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVORA DIGITAL TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.
