This Distance Sales Agreement (“Agreement”) is executed in electronic form pursuant to Law No. 6502 on the Protection of Consumers and the Regulation on Distance Contracts published in the Official Gazette No. 29188, governing the terms and conditions between the Service Provider and the Subscriber (“Buyer”) for digital subscriptions and analysis credits ordered via MarginLane (https://marginlane.com).
1. Parties to the Agreement
1.1. Service Provider / Seller
1.2. Buyer / Customer
The individual or corporate entity registering an account, purchasing a subscription plan (Starter, Pro, Team), or procuring credit packages on MarginLane. The Buyer's legal name, billing address, tax identification number / national ID, phone number, and email address recorded during checkout shall constitute the Buyer's contractual details.
2. Subject Matter & Scope of Service
The subject of this Agreement is the determination of the rights and obligations of the parties regarding the sale, digital delivery, and licensing of the web-based analytical SaaS tool (“MarginLane”) ordered electronically by the Buyer through the website, including catalog scanning credits, profit matching algorithms, and fee estimation engines.
MarginLane provides algorithmic decision-support intelligence for Amazon Selling Partners. The Service does not guarantee commercial outcomes, sales volume, profit margins, or Amazon Buy Box placement.
3. Delivery Method, Terms of Payment & Invoicing
Immediate Electronic Delivery:As the service is an intangible software application provided over the internet, no physical goods are shipped. Access to the purchased subscription or analysis credits is provisioned to the Buyer's account instantaneously upon bank approval of the payment transaction.
Payment Gateway: All payments are processed securely through licensed PCI-DSS Level 1 payment infrastructure (iyzico) using 3D Secure banking protocols. The Seller never stores or accesses full credit card credentials.
Electronic Invoicing:Official electronic tax invoices or receipts are issued electronically and dispatched to the Buyer's verified email address in compliance with applicable tax regulations.
4. Right of Withdrawal & Statutory Exceptions
Statutory Withdrawal Right: In general distance contracts, consumers have the right to withdraw within fourteen (14) days without giving any reason and without penalty.
Exceptions for Digital Services (Article 15 of Distance Contracts Regulation): In accordance with Article 15/1-(ğ) of the Regulation on Distance Contracts:
“Contracts regarding services performed instantly in the electronic environment or intangible goods delivered instantly to the consumer are exempt from the right of withdrawal once performance has commenced with the consumer's consent.”
Consequently, once the Buyer initiates wholesale list processing, decrements analysis credits, or utilizes computational API pipelines, the service is deemed executed, and the right of withdrawal cannot be exercised for consumed credits. Unused subscriptions or credit packs may be refunded within 14 days of purchase as set out in our Delivery & Refund Policy.
5. Governing Law & Dispute Resolution
This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Türkiye.
In disputes arising from this Agreement, competent Consumer Arbitration Committees and Consumer Courts within the statutory monetary limits declared annually are authorized. For commercial and corporate transactions, Istanbul Central Courts and Enforcement Offices shall have exclusive jurisdiction.
6. Acceptance & Enforcement
The Buyer acknowledges that they have read, understood, and agreed to all conditions of this Distance Sales Agreement, the Terms of Service, the Privacy Policy, and the Delivery & Refund Policy prior to executing payment on MarginLane. Electronic confirmation during checkout constitutes binding legal signature.
